Terms & Conditions

These Terms and Conditions govern the use of operational consulting services provided by Loomwright, registered and operating in Chiang Mai, Thailand. Please read the following provisions carefully before engaging any of our services.

Definitions
For the purposes of these Terms and Conditions, the following terms carry the meanings set out below, and this understanding applies throughout the document and any related correspondence or agreements.
- —"Service" refers to any operational consulting engagement offered by Loomwright, including Internal Survey Design, Performance Conversation Framework, and Twelve-Week Operating Embedding, as described on our website and in individual engagement scopes.
- —"User" or "Client" refers to any individual, organisation, or business entity that engages with Loomwright services or accesses our website.
- —"We," "Us," or "Our" refers to Loomwright, operating from 86 Sirimangkhalachan Road, Suthep, Chiang Mai 50200, Thailand.
- —"Content" refers to any documents, frameworks, survey drafts, working notes, or deliverables produced during a consulting engagement.
- —"Agreement" refers collectively to these Terms and Conditions together with any scope-of-work document or engagement letter exchanged between the parties.

Acceptance of Terms
By submitting an enquiry, entering into a written engagement, making payment, or otherwise initiating a working relationship with Loomwright, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions in their entirety.
We ask that individuals engaging our services be at least 18 years of age and have full legal capacity to enter into binding agreements on their own behalf or on behalf of the organisation they represent. If you are entering this agreement on behalf of an organisation, you represent that you hold authority to bind that organisation to these terms.
If you do not agree with any part of these terms, we encourage you to raise your questions with us directly before proceeding with any engagement. Our contact details are set out in Section 15.

Service Description
Loomwright provides non-regulated operational consulting services to small and mid-sized businesses. Our engagements are collaborative in nature and are designed to support leadership teams in reviewing and documenting their internal working practices. The three services we currently offer are described below in general terms; specific scope is agreed in writing before any engagement commences.
All services are delivered by the consultant working alongside the client's own team. Deliverables — such as survey drafts, framework documents, and operating materials — are authored with the client and remain owned by the client on completion. Loomwright does not provide legal, financial, medical, or any other licensed advisory services.
Services are available to clients based in Thailand and may be extended to clients in other geographies where the engagement can be supported remotely or during agreed travel. Geographic restrictions, if applicable, will be noted in the individual engagement scope.

User Responsibilities
We ask clients to engage with each working session in good faith and to make available the time, information, and personnel that have been agreed upon as part of the engagement scope. Delays arising from non-availability of key participants may affect the timeline of the engagement.
Clients are responsible for ensuring that any information shared with the consultant during the engagement is accurate to the best of their knowledge, and that they hold appropriate authority to share such information. Loomwright will treat all client information with care and will not share it with third parties without consent.
The following activities are not permitted in connection with our services or website:
- —Misrepresenting your identity, authority, or the nature of your organisation when entering into an engagement.
- —Using consulting deliverables for purposes materially different from those agreed at the outset of the engagement without informing us.
- —Reproducing, distributing, or commercialising materials produced by Loomwright without a written licence to do so.
- —Engaging in any conduct during the working relationship that is harmful, unlawful, or contrary to reasonable professional standards.

Intellectual Property
All working methods, templates, and structural frameworks that Loomwright brings to an engagement remain the intellectual property of Loomwright. Deliverables produced specifically for a client — such as a tailored internal survey or a drafted performance framework — are transferred to the client upon completion of payment, as described in the engagement scope.
Clients are granted a limited, non-exclusive licence to use Loomwright's website content for the purpose of understanding and evaluating our services. This licence does not extend to reproduction, redistribution, or commercial use of any website materials without our written consent.
Where a client provides pre-existing materials, documents, or information for use during the engagement, ownership of those materials remains with the client. Loomwright will use such materials solely for the purposes of the agreed engagement.

Payment Terms
All fees are quoted and payable in Thai Baht (฿). The fees for our three current service engagements are as follows: Internal Survey Design at ฿4,200 for a two-week engagement; Performance Conversation Framework at ฿15,200 for a four-week engagement; Twelve-Week Operating Embedding at ฿34,200 for a twelve-week engagement.
Payment schedules, including any deposit requirements and milestone payments, will be set out in the individual engagement letter before work commences. We accept bank transfer as our primary payment method; other arrangements may be discussed in advance.
Should a client wish to withdraw from an engagement after it has commenced, the following general provisions apply: work completed up to the point of withdrawal will be charged at a proportional rate based on the agreed fee. We are open to discussing equitable arrangements where circumstances have changed materially for either party.
Disputes regarding invoices should be raised with us within fourteen days of receipt. We will review such disputes in good faith and respond within a reasonable period.

Service-Specific Terms
Each engagement is governed by a written scope of work agreed between Loomwright and the client before the start of the engagement. This scope document identifies the specific working sessions, deliverables, timelines, and any particular conditions applicable to that engagement.
The timeline of each service is indicative and based on the availability of key participants. Where a client requires additional working sessions beyond those included in the standard scope, these may be arranged at a supplementary fee to be agreed in writing.
All deliverables produced during an engagement — surveys, framework documents, operating notes — are drafts and working documents. The final form, adoption, and application of any deliverable remain entirely at the discretion of the client. Loomwright does not take responsibility for the outcomes that follow from a client's use of any deliverable.
Both parties agree to maintain reasonable confidentiality regarding the details of any working engagement. Loomwright will not disclose information about a client's organisation to third parties without consent, except where required by law.

Disclaimers
Our services are provided in good faith as operational consulting support. We do not represent that any particular outcome will follow from the use of materials or frameworks developed during an engagement. The practical effects of any working process are shaped by many factors within the client's own organisation, which lie outside our influence or control.
Nothing in our services, website, or any communication from Loomwright constitutes legal advice, financial advice, psychological advice, or advice from any licensed professional. Where such advice is relevant to a client's situation, we encourage engagement with appropriately qualified professionals.
Our website and any materials provided through it are offered on an "as is" basis. We make reasonable efforts to ensure that information on our website is accurate and current, but we do not warrant that it is free from error or fully comprehensive.

Limitation of Liability
To the extent permitted by applicable Thai law, Loomwright's total liability to a client in connection with any single engagement will not exceed the total fee paid by that client for that engagement.
Loomwright will not be liable for indirect, incidental, or consequential losses, including but not limited to loss of revenue, loss of business opportunity, or damage to reputation, arising from any engagement or from the use of any deliverable produced during an engagement.
Force majeure events — including natural disasters, political disruptions, public health emergencies, or other circumstances beyond reasonable control — may affect the delivery of services, and Loomwright will not be held liable for delays or non-performance arising from such events. In such cases, we will communicate with the client promptly and work to agree a revised arrangement.

Indemnification
The client agrees to hold Loomwright harmless from and against any claims, damages, costs, or liabilities arising from the client's use of any deliverable produced during an engagement, the client's misrepresentation of their organisation or authority, or any violation of these Terms and Conditions by the client.
This provision does not limit the client's right to raise concerns or disputes with us directly, and we encourage open communication as the first course of action in any situation where either party feels the terms have not been met.

Termination
Either party may withdraw from an engagement by providing written notice. Where a client wishes to withdraw, payment for work completed up to the date of notice will be due as described in Section 06. Where Loomwright needs to withdraw — for example, due to a significant change in the consultant's availability — we will provide as much notice as reasonably possible and discuss fair arrangements for any fees already paid.
Upon the close of an engagement, the client retains ownership of all deliverables produced for them. Loomwright retains the right to reference the general nature of the engagement — without identifying the client — for the purpose of describing its service experience.
The provisions in Sections 05, 08, 09, 10, and 12 of these Terms and Conditions survive the termination of any individual engagement.

Dispute Resolution
These Terms and Conditions are governed by the laws of the Kingdom of Thailand. Any dispute arising from an engagement with Loomwright will first be referred to good-faith discussion between the parties, with an aim to reach a mutually acceptable resolution within thirty days of the dispute being raised.
Should informal resolution not be possible, either party may pursue resolution through the courts of Chiang Mai, Thailand, or through an agreed mediation process. We do not require arbitration as a precondition of legal action, though we remain open to mediation where both parties consent.
For international clients, any cross-border aspects of the engagement will be handled in accordance with applicable Thai law unless a separate written agreement establishes a different governing jurisdiction.

General Provisions
- —Entire Agreement: These Terms and Conditions, together with the written scope of work for each engagement, constitute the entire agreement between Loomwright and the client with respect to that engagement.
- —Severability: If any provision of these terms is found to be unenforceable under applicable law, that provision will be removed or modified to the minimum extent necessary, and the remaining provisions will continue in full effect.
- —Waiver: A failure or delay by either party to enforce any provision of these terms will not be construed as a waiver of that provision or of any future right to enforce it.
- —Assignment: Clients may not transfer or assign their rights or obligations under these terms without our prior written consent. Loomwright reserves the right to involve associate consultants in the delivery of a service, subject to maintaining the same confidentiality standards.
- —Notices: Any formal notice under these terms should be sent by email to [email protected] or by post to our registered address below.

Changes to Terms
We may update these Terms and Conditions from time to time to reflect changes in our services, applicable law, or working practices. Where updates are material, we will note the revised date at the top of this page. For clients currently engaged in an active service, we will communicate significant changes directly.
Continued engagement with our services after the publication of updated terms constitutes acceptance of those terms. If you have concerns about a particular revision, please raise them with us before the revised terms take effect.
